1. APPOINTMENT

1.1. The Merchant appoints the Distributor as its non-exclusive distributor for the products listed in Schedule 1 within the territory defined as South Africa. The Distributor agrees to act as such.

2. DISTRIBUTOR'S OBLIGATIONS

2.1. The Distributor will use reasonable efforts to promote and sell the products.

2.2. The Distributor will keep accurate records of stock and sales.

2.3. The Distributor will use only approved marketing materials.

2.4. The Distributor will comply with relevant laws and regulations.

2.5. not supply the Products to any other person in the Territory as a distributor or agent for resale;

2.6. not appoint any other person as a distributor or agent for the Products in the Territory.

2.7. The distributor must honour the RRP in the catalogue which may be updated without notice The Distributor acknowledges that there are multiple appointed distributors in the Territory.

3. MERCHANT'S OBLIGATIONS

3.1. The Merchant will provide marketing guidance and materials.

3.2. The Merchant will ensure products are delivered on time and maintain warranty services.

4. PRICES AND PAYMENT

4.1. Prices are as set out in Schedule 1 and are subject to change with 4 weeks' notice.

4.2. Payment is due at the time of order. No credit will be offered.

5. ORDERS AND DELIVERY

5.1. Orders are subject to Merchant’s acceptance. The Merchant will inform the Distributor of estimated delivery dates.

5.2. Delivery is the Distributor’s responsibility once the products leave the Merchant’s premises.

6. RISK AND TITLE

6.1. Risk passes to the Distributor when goods leave SALQUE’s premises.

6.2. Title remains with the Merchant until full payment is made.

7. DEFECTIVE PRODUCTS

7.1. The Distributor must inspect products upon delivery and report any defects within 7 days.

7.2. The Merchant will replace defective products within 30 days or provide credit to the Distributor.

8. PRODUCT WARRANTY

For a period of six months from delivery, SALQUE CC offers the following

warranty terms to SAL QUE for third-party claims regarding defects:

8.1. SALQUE CC does not cover lens scratches, alterations, misuse, abuse, or non-SOEK lenses.

8.2. Scratched lenses are not covered under the warranty.

8.3. Warranty claims must be returned to SALQUE for inspection and follow the specifications in this document. SALQUE will provide details to SOEK PTY LTD.

8.4. Return shipping for warranty assessment is at the customer’s expense.

8.5. If the warranty claim is valid, SALQUE CC will replace the frame or provide credit to the distributor.

8.6. If the claim is invalid, SALQUE CC will not provide a replacement or accept liability.

8.7. SALQUE CC is not responsible for lost or damaged returned packages.

8.8. WARRANTY REQUIREMENTS Please send Angelique a mail to send you the appendix 1 form to complete) include:

Client's name, address, phone number, and email.
Description of the issue or service requested.
A dated receipt or order reference number and product code.

8.9. Warranty does not cover wear and tear, willful damage, negligence, or normal use issues.

8.10. Warranty excludes issues due to failure to follow supplier instructions.

8.11. Warranty excludes issues due to specifications or instructions provided by the customer.

8.12. Warranty is void if the customer modifies the goods.

9. TERM AND TERMINATION

9.1. This agreement continues until terminated by either party with 3 months' written notice.

9.2. Immediate termination is possible if either party breaches significant terms or faces insolvency.

10. CONFIDENTIALITY

10.1. Both parties agree to keep confidential information private and not use it for any purpose other than as required by this agreement.

11.INTELLECTUAL PROPERTY

11.1. The Distributor will not use the Merchant’s trademarks or intellectual property outside the scope of this agreement.

12. MISCELLANEOUS

12.1. This agreement represents the entire understanding between the parties and supersedes any prior agreements.

Amendments must be in writing and signed by both parties.

Schedule 2: Minimum sale requirements

It is expected that the distributor shall order no less than 10 (ten) items each order. It is not required 10 (ten) items are from the same range.
